Provider Network Participation Terms

1. Parties & Purpose
a) Welcome to the BATWatch™ Provider Network. These Provider Network Participation Terms (“Terms”) outline the expectations, responsibilities, and benefits for licensed healthcare providers, clinics, telehealth organizations, and authorized collaborators (“You”, “Your”, “Provider”, “Nominee Clinician”) who choose to join the BATWatch ecosystem.
By participating, you agree to collaborate with BATWatch Medical Group, LLC , Silver House Technologies, Inc., and their affiliated clinical and operational entities.
By agreeing to these Terms, you also agree to comply with any applicable state-specific addenda, which are incorporated herein by reference. These addenda outline additional terms and conditions relevant to the state(s) in which you are licensed to practice.
Credentialing will be conducted on a state-by-state basis through the respective BATWatch State Entity or authorized affiliate, as required by payer or regulatory authorities.
All clinical services shall be rendered under the appropriate licensed BATWatch State Entity for the jurisdiction in which You are credentialed, in accordance with applicable state law.
Addenda for each licensed state will be maintained at [batlevels.com/legal/states] and are incorporated herein by reference.
In the event of a conflict between these Terms and any State Addendum, the applicable State Addendum shall govern for that jurisdiction
b) Entity Structure Reference
For clarity, the BATWatch ecosystem includes the following entities:
Silver House Technologies, Inc. – The parent company responsible for technology infrastructure, compliance oversight, and strategic operations. (“Silver House”)
BATWatch Medical Group, LLC – The national MSO coordinating provider engagement, centralized testing, and network operations. (“MSO”)
BATWatch State Entities – Licensed professional corporations (e.g., BATWatch of Arizona, PC) responsible for clinical care and claim submission within their respective states. (“PC” or “PCs”)
Series LLCs & Affiliates – Entities supporting care coordination, data infrastructure, and operational logistics. (“Provider Network”)
Collectively, (“BATWatch”, “We”, “Us”, “Our”)
All medical services are rendered under the direction of PCs or Affiliated clinical entities, while operational coordination is supported by MSO and its business associates.
This Agreement confirms your intent to collaborate with BATWatch as a non-exclusive, independent healthcare provider and participate in delivering cognitive health services under the BATWatch Protocol™. Nothing in this Agreement shall be construed as an offer of employment, agency, or partnership.
c) Covered Services
You may be engaged for a range of services, including but not limited to:
• Laboratory test ordering and review
• Interpretation of results and patient discussion
• Telehealth consultations
• Treatment oversight
• Participation in shared-care coordination
• Contributions to real-world registry data and clinical feedback loops
The specific nature of participation shall be governed by workflow protocols and any additional written documentation between the parties.
2. Duties of Provider
As a participating provider under this Agreement, You agree to perform clinical services in support of the BATWatch Protocol™, including but not limited to:
a) Testing & Lab Coordination. Authorizing and/or reviewing diagnostic orders placed through BATWatch’s centralized lab system (e.g., Quest Diagnostics, LifeLabs, etc).
Granting standing consent for BATWatch to initiate testing workflows on your behalf in accordance with predefined clinical protocols and patient consents.
Receiving summaries and milestone notifications for patients assigned to your NPI.
b) Telehealth Consultations (TH Visits). Participating in scheduled Telehealth follow-up visits via BATWatch’s HIPAA-compliant Video Conference platform, focused on clinical interpretation, treatment guidance, or patient counseling.
Attending group TH visits during designated days for onboarding, observational learning, and patient handoff opportunities.
Shadowing or watching a minimum number of visits (recommended 3–5) before conducting individual sessions to ensure fluency with BATWatch language and workflows.
Optionally selecting preferred availability and cadence for individual TH scheduling, once confident and ready.
c) Asynchronous Review & Automation Support. Granting consent for BATWatch to manage day-to-day test coordination, result interpretation, and patient communication asynchronously, based on standard protocols, without requiring manual review of each patient unless flagged for escalation.
Agreeing that all orders, workflows, and patient routing follow pre-approved clinical logic and are subject to oversight by BATWatch medical directors.
You will not be responsible for reviewing or approving every patient file in real time unless otherwise arranged. Escalations will be directed to You based on defined clinical criteria.
d) Protocol-Based Treatment & Fulfillment Authorization. You hereby authorize BATWatch and its affiliated care coordination systems to initiate and fulfill treatment workflows, including the generation and submission of prescription orders, on your behalf when the following conditions are met:
i. The treatment or supportive medication is part of a predefined BATWatch clinical protocol that has been made available to You, including both primary therapies and protocol-defined side effect mitigation steps;
ii. The Patient has completed all required testing, risk stratification, or eligibility workflows defined by the protocol;
iii. The protocol is either (1) confirmed by You directly through a clinical visit or platform interaction, or (2) automatically validated through milestone logic You have agreed to in advance;
iv. The prescription is limited to FDA-approved, non-controlled medications authorized by the protocol, and is routed through appropriate channels compliant with federal and state regulations; and
v. BATWatch maintains an auditable record of each fulfillment action, including the initiating provider, timestamp, protocol version, and clinical justification. This delegation includes treatment initiation medications (e.g., sirolimus or similar agents) as well as protocol-aligned medications intended to address anticipated side effects (e.g., nausea, fatigue, sleep disruption, dermatologic reactions), provided such medications are explicitly listed in the relevant protocol documentation You have reviewed and accepted.
vi. You understand and agree that BATWatch may fulfill such prescriptions using either Your NPI or that of a designated BATWatch provider, as required by jurisdictional licensing, technical infrastructure, or administrative policy. You retain the right to revoke this authorization at any time via written notice; however, doing so may affect Your ability to participate in certain BATWatch clinical workflows or treatment pathways.
vii. Participation Under Centralized Protocol & Confidentiality. Provider acknowledges that BATWatch utilizes a proprietary, centrally maintained protocol for laboratory ordering, diagnostic workflows, treatment frameworks, and interpretive algorithms, as developed and approved by BATWatch’s Medical Directors. Provider agrees to participate in the BATWatch network by performing assigned clinical services, including ordering, reviewing, and follow-up, pursuant to this protocol. Provider understands and accepts that the specific composition, sequence, and logic of the BATWatch protocol are confidential trade secrets. Access to protocol details will be limited to the information necessary for Provider to fulfill their assigned duties. Full protocol details may only be disclosed to Provider if required by law, medical board, or payer audit.
e) Documentation & Participation. Completing minimal documentation as required for claim support, patient continuity, or treatment tracking (typically structured or templated formats).
Reviewing weekly summaries of patient activity and service logs for recordkeeping or claim submission as preferred.
Authorizing BATWatch to submit claims directly using Your own NPI, while you retain full reimbursement during the pre-credentialing phase, and authorizing BATWatch to manage claims post-credentialing under a shared fee arrangement.
f) Licensure and Credentials. You warrant and covenant that, during the Term of this Agreement:
i. Licensure: You hold, and will maintain in good standing, an unrestricted license to practice medicine or provide clinical care in each U.S. state or jurisdiction where You are rendering or supervising services under the BATWatch program. You agree to promptly notify BATWatch of any change in licensure status, including suspension, restriction, or disciplinary action.
ii. Board Certification: You are board-certified (or board-eligible and actively pursuing certification within eighteen (18) months of initial eligibility) in Your designated clinical specialty by a recognized certifying board appropriate to their practice.
iii. Credentials and Privileges: You shall maintain all credentials, certifications, and, if applicable, hospital or telehealth platform privileges reasonably required to deliver services through BATWatch. Where hospital privileges are not required, You shall instead comply with all internal credentialing standards maintained by BATWatch.
iv. Multi-State Compliance: You agree to comply with all applicable licensure and regulatory requirements in each jurisdiction where You serve patients, and shall cooperate in furnishing any documentation necessary to support payer credentialing, insurance enrollment, or state-specific oversight.
g) Group Practice. You hereby confirm that You are in, and agree that You are considered to be in, a group practice as defined under 42 U.S.C. §1395 and the regulations issued thereunder (the “Stark Act”), You hereby further confirm to assign Your right to bill the Medicare, Medicaid and other governmental programs and Payers as defined in this Agreement, for any Services provided to Patients of BATWatch.
h) Public Image. You shall promote and maintain for Yourself, and for BATWatch a public image and reputation of excellence in the health care community and the general public.
i) Advocacy & Education Participation (Optional but Encouraged)
Participating in public-facing educational opportunities, such as Your spotlight bios, podcast-style interviews, and professional advocacy videos to increase public trust and expand outreach.
Supporting BATWatch’s broader mission through shared learning, community education, and representation of evidence-based preventive care.
j) Medicare/Medicaid and other Programs. You shall maintain Your unrestricted eligibility to participate in the Medicare and Medicaid programs, in such other Payer Contracts as described in this Agreement.
k) Authority. You shall have no authority to enter into any contracts binding upon BATWatch or to create any obligations or encumber any of the assets of BATWatch.
l) MD–NP Collaboration (If Required by State Law). In States where Nurse Practitioners (“NPs”) are not authorized to practice independently under applicable State law or Medical Board regulation, BATWatch will implement a compliant physician-NP collaboration structure using a State-Mandated Clinical Oversight Framework (“SCOF”). This includes defining delegated medical functions, prescribing authority, and any required review or audit thresholds
i. Compliance with State-Mandated Clinical Oversight Framework (SCOF)
All Nurse Practitioners (“NPs”) operating under the BATWatch Program in the State shall perform any medical function or delegated task that overlaps with the practice of medicine only under a documented SCOF, as required by applicable State law.
a) “SCOF” refers to any written or implied protocol required by the Medical Board, including but not limited to:
• Standardized Procedures (SPs)
• Collaborative Practice Protocols (CPPs)
• Prescriptive Authority Agreements (PAAs)
• Any equivalent delegation or supervision document
b) Each SCOF shall:
• Identify the medical functions delegated to NPs
• Reference governing protocols and frameworks (e.g., BAT Testing, Treatment Protocols, CFM/FC logic)
• Define competency criteria and scope boundaries
• Establish methods for review, documentation, and audit
• Be reviewed and approved by a designated Collaborating Physician
c) BATWatch shall maintain a version-controlled SCOF template and facilitate required execution and updates.
ii. Designation of Collaborating Physicians
a) By agreeing to these Terms, each physician (MD/DO) practicing in the State consents to serve as a Collaborating Physician for one or more NPs, solely for the purpose of fulfilling SCOF or Medical Board requirements.
b) This designation includes:
• Reviewing and signing the applicable SCOF(s)
• Permitting NP practice as defined within approved protocols
• Remaining available for consultation in accordance with Medical Board rules
iii. Oversight & Review Obligations
Unless otherwise mandated by the Medical Board, Collaborating Physicians shall:
a) Not be required to supervise encounters in real time or co-sign all records
b) Not be obligated to perform chart reviews unless part of a defined audit
c) Reserve the right to conduct periodic documentation reviews, not to exceed 5% of NP cases annually unless otherwise required
d) Participate in protocol review at least annually, or at the interval required by the Medical Board or applicable State law, as coordinated by BATWatch.
All SCOF-related oversight shall be logged, time-stamped, and maintained in accordance with regulatory timelines.
e) Periodic Joint Chart Review (Where Required)
In States where regulatory authorities require periodic chart review between Collaborating Physicians and Nurse Practitioners, BATWatch shall ensure such reviews are conducted and documented accordingly.
Requirements may include reviewing either:
• a minimum number of patient records (e.g., 10 every 6 months), or
• a minimum percentage of total NP charts (e.g., 10% monthly or 20% annually),
as determined by applicable State law or Medical Board regulations.
Where the Medical Board requires more frequent oversight (e.g., Missouri mandates review of at least 10% of NP charts every 14 days), BATWatch shall ensure timely compliance through rotating MD audit reviews or direct chart access
Reviews may occur remotely via secure systems and shall be logged with time/date, case count, and signatures or digital attestation. Where not mandated, BATWatch shall default to reviewing 5–10 representative NP cases annually.
iv. Recordkeeping and Compliance
BATWatch shall maintain:
a) Fully executed SCOFs for each active NP–MD pairing in the State
b) Logs of reviews, audits, and physician sign-offs
c) Active documentation of NP licensure, credentialing, and scope alignment
Records shall be retained for no fewer than four (4) years or longer if required by the Medical Board or State law.
v. Opt-Out Provision. Any physician may opt out of serving as a Collaborating Physician by providing written notice to BATWatch. Such withdrawal shall only affect their role in NP collaboration and shall not otherwise affect participation in the Provider Network, unless required by law.
vi. Preemption and Conflict Resolution. In the event of any conflict between this section and the main Provider Network Participation Terms, this section shall govern all NP-related services rendered in the State.
vii. Prescriptive Authority Delegation. In States where prescriptive delegation is required, the following shall apply. Where not required, this section serves as a general disclosure of prescribing activity under the BATWatch Program.
a) Terminology Alignment. All references to delegation frameworks shall be interpreted to include the applicable SCOF for the State, as approved by the Medical Board.
b) Authorized Prescriptions. Collaborating Physicians authorize Nurse Practitioners (“NPs”) to prescribe, as clinically indicated under BATWatch protocols and applicable scope of practice laws, the following medications:
• Primary Intervention:
– Sirolimus (BAT Pill) oral autophagy activator
• Supportive Medications (as needed for side effect management):
– Mouth sores: Topical corticosteroids, oral dexamethasone rinse
– GI symptoms: Ondansetron, Famotidine, Omeprazole
– Rash or skin irritation: Topical hydrocortisone, antihistamines
– Immune modulation: Low-dose prednisone (short-term, under protocol supervision)
– Supplemental prescriptions: Vitamin D3, Magnesium Oxide, Zinc
Note: In States where separate authorization or registration is required for NP prescribing (e.g., a CAPA-CS filing, delegation protocol, or board registration), BATWatch shall ensure such requirements are fulfilled and that all participating NPs are appropriately credentialed and authorized before initiating prescribing activities.
Future additions shall remain within NP licensure scope, the Medical Board’s regulatory limits, and BATWatch’s clinical governance protocols.
c) Scope and Regulatory Limits. All prescribing activity shall remain within the NP’s state-defined scope of practice. Controlled substances shall only be prescribed where permitted by the Medical Board and when the NP holds valid DEA and EPCS credentials.
d) Communication Protocol. Collaborating Physicians shall be available for consultation through standard or BATWatch-coordinated channels. Real-time oversight is not required unless mandated by the Medical Board. Communication may be asynchronous unless urgent medical review is required.
e) Review and Retention. Prescriptive activity shall be subject to periodic review, no more than once annually unless required otherwise. Delegation documents and protocol approvals shall be retained by BATWatch for at least four (4) years or longer per State law.
viii. Regulatory Oversight & Review Protocol. In the event that a State regulator, Medical Board, or payer requests clarification, documentation, or audit of MD–NP collaboration or prescriptive review processes, BATWatch shall implement the following protocol:
a) Review Coverage by Any Qualified Collaborating MD. BATWatch may assign any appropriately licensed and credentialed Collaborating Physician in the State to conduct the required review, even if they were not the original protocol signer.
b) Rotational or Delegated Audit Approach. BATWatch may use a rotational model to distribute documentation audits across multiple Collaborating Physicians. Reviews may include anonymized or randomly sampled NP cases.
c) Annual Internal Audit. An internal compliance audit shall be conducted at least once annually. Participating MDs may be asked to review 5–10 cases per NP to verify protocol adherence.
d) On-Demand Escalation. For urgent regulatory inquiries, BATWatch shall designate a Lead Reviewing Physician licensed in the State to respond within required timeframes and coordinate with compliance counsel as needed.
m) Compliance with Laws. In the performance of its responsibilities under the Agreement, You shall comply with the requirements of all applicable Federal, state and local laws, rules and regulations, and published official interpretations of the foregoing, including without limitation, those including the licensure and regulation of outpatient diagnostic or treatment facilities, and those prohibiting employment discrimination, discrimination against Patients, those prohibiting kick-backs and remuneration for referral of Patients, and shall comply with the requirements of the Medicare and Medicaid programs, and the standards of any accrediting agency having jurisdiction over BATWatch, or You.
n) Payer Contracts. If BATWatch elects to accept a Payer Contract, as hereafter defined, then You shall execute and deliver such agreement or otherwise become a participating provider under such Payer Contract. You shall assist BATWatch in securing such Payer Contracts as BATWatch shall request or otherwise designate. For purposes hereof, a “Payer Contract” is an agreement for the provision of health care services where the health maintenance organization, preferred provider organization, exclusive provider organization, employer, or other third-party payer is obligated for the provision of, or payment, or reimbursement for, the provision of health care services including professional therapy services, and the professional and technical components thereof.
o) Timely Notice. You shall notify in a timely manner, BATWatch of any event, including but not limited to, any change in Your physical or mental health, error, omission, action, act or alleged act of material practice, failure to act, or other incident or occurrence that may adversely affect You, any Patient, and/or BATWatch.
p) Trademark & Brand Use. Adhere to Approved Terminology and only use BATWatch trademarks and affiliated language as authorized under the Terms of this Agreement. Misuse, alteration, or unapproved public representation may result in immediate removal from the network.
3. Use of BATWatch IP. BATWatch and its associated terminology, marks, and brand assets are proprietary intellectual property held by Cognitive IP Holdings, LLC, an affiliate of Silver House. These rights are licensed to MSO, PCs, and extended to approved participating providers under strict terms. (the “BATWatch IP”)
a) Approved Trademarks & Terms. You may only use the following proprietary marks if You are an active, approved member of the Provider Network and in good standing:

• BAT Levels™
• BAT Level Index™
• BAT Score™
• BAT Test™
• BAT Check™
• BATophagy™
• BAT Level Awareness Month™

(And other marks we designate over time)
Use of these marks is subject to this Agreement, which outlines branding consistency, media use, public statements, and web/social content.
b) Limitations & Restrictions
• No sublicensing of any BATWatch IP, such as terminology, design assets, or protocols is allowed.
• You may not incorporate BATWatch IP into corporate names, websites, domain names, marketing campaigns, or digital materials without written approval.
• Any goodwill derived from BATWatch IP usage benefits BATWatch and its IP Affiliate exclusively. No rights of ownership, equity, or goodwill are conferred upon You.
c) Modifications & Enforcement
• We may modify, expand, or replace marks in our sole discretion and require compliance with updated guidelines.
• Unauthorized use, dilution, or misrepresentation of BATWatch IP may result in legal action, termination from the Provider Network, and forfeiture of participation benefits.
d) Ongoing Duty to Protect BATWatch IP
• You agree not to dispute our BATWatch IP rights or assist others in doing so.
• You must notify Us of any suspected infringement, misuse, or imitation of BATWatch IP.
5. Centralized Test & Treatment Coordination. The Provider Network is built around a centralized infrastructure that ensures consistency, safety, and ease of access for patients and providers alike. While maintaining full clinical independence, You agree to coordinate with BATWatch and its designated affiliates to streamline the process across testing, results interpretation, and optional treatment pathways.
a) Lab Coordination, Authorization & Ordering. BATWatch facilitates laboratory coordination through authorized lab partners using a centralized ordering system tied to the BATWatch Provider Network. By joining the network, you authorize BATWatch to coordinate clinically appropriate testing on your behalf for patients enrolled in the BATWatch Protocol™.
This may include placing orders via integrated platforms (e.g., Quest Diagnostics, LifeLabs) using the originating provider’s name, contact info, and NPI, in accordance with established clinical workflows and consented patient protocols. If you are the originating provider, you will receive summaries and notifications at major milestones and may revoke this coordination authorization at any time. BATWatch does not act as a rendering provider, treating physician, or diagnostic authority under your NPI. NPI usage is limited to authorized laboratory coordination for patients initiated under your care or with your consent, strictly for the purposes of testing coordination and result routing. You may request to limit the scope of lab coordination or restrict specific tests at any time by providing written notice. All lab workflows follow protocol-based sequences and are configurable based on your preferences. Lab coordination includes logistics, patient support, and pre-configured order panels to ensure accuracy and consistency.
b) Lab Recordkeeping & Provider Access. All test orders and results are securely stored in accordance with HIPAA and CLIA standards. As the referring provider, you may request full lab documentation or results history at any time for continuity-of-care or medical record purposes.
c) Consent Handling. BATWatch obtains and stores all patient consents required to coordinate testing, share data, and manage care within the BATWatch Protocol™. Providers are not responsible for securing or maintaining these consents unless explicitly agreed to.
d) Regulatory Compliance Statement. BATWatch’s laboratory coordination practices are aligned with applicable CLIA, HIPAA, and CMS regulations. When providers authorize testing workflows, NPI use is limited to appropriate coordination activities and does not imply direct rendering or diagnostic responsibility unless separately documented.
e) Algorithmic Risk Scoring & Result Delivery
• All test results are reviewed centrally using the proprietary BAT Risk Scoring Model, which stratifies patients based on their biomarker profile, age, genetic risk, and other clinically relevant factors.
• BATWatch generates structured results that include interpretation summaries and testing insights, which are returned to both You and the patient (where applicable) for clinical discussion.
• These results are derived from ongoing analysis of real-world data, clinical research, and peer-reviewed literature.
f) Optional Treatment Oversight & Shared Care
• Providers may choose to:
a) Manage treatment independently using insights from BAT Testing,
b) Refer patients to BATWatch for full treatment oversight using the BAT Pill Protocol™, or
c) Adopt a hybrid approach, with shared-care coordination between Your practice and our centralized treatment team.
• Centralized treatment support includes telehealth onboarding, risk tracking, protocol adherence monitoring, and patient safety follow-up.
g) Safety, Feedback, & Quality Assurance
• You agree to report adverse events, side effects, or deviations from expected outcomes to BATWatch as part of our continuous improvement and safety monitoring efforts.
• BATWatch maintains a feedback loop across all participating providers and uses these insights to update protocols and inform future risk modeling.
h) No Obligation to Prescribe
• Participation in the Provider Network does not obligate You to prescribe or recommend any specific treatment. All clinical decisions remain at Your discretion. However, we encourage alignment with best practices to ensure consistency of care and optimal patient outcomes.
i) Independent Status and Non-Employment. Participation in the Provider Network does not create an employment relationship. All Providers operate as independent professionals and are responsible for maintaining active licensure, compliance with applicable State and federal regulations, and adherence to BATWatch clinical protocols. BATWatch facilitates access to shared infrastructure, telehealth workflows, and support tools, but does not guarantee scheduling, clinical volume, or continuity of patient care.
j) Corporate Structure, Regulatory Filings, and Medical Ownership Compliance
BATWatch operates in multiple jurisdictions, including those with Corporate Practice of Medicine (CPOM) restrictions, medical licensure ownership requirements, and entity-based governance disclosures. To ensure compliance across all applicable states and provinces, the following structure applies:
i. PCs delivering medical services under the BATWatch program may be registered using the names of licensed MDs, DOs, or NPs for incorporation or credentialing purposes. These individuals may serve as state-level Nominee Clinicians of record, in accordance with applicable CPOM or licensure disclosure laws.
ii. Providers participating in the Provider Network agree that clinical ownership, where required by law, may be attributed to a distributed pool of network-credentialed providers, none of whom individually exceed statutory disclosure thresholds or, if applicable, ownership thresholds (e.g., 5% or 25%, as applicable by jurisdiction). Specific local assignments or documentation will be maintained by BATWatch for audit purposes and updated as needed.
iii. Nominee Clinicians may be rotated annually or reassigned to satisfy corporate filing requirements. Participation in such governance roles does not imply personal liability or material control over BATWatch operations. Oversight remains subject to these Terms and governed through BATWatch’s centralized protocol governance structure.
iv. Providers serving in this capacity acknowledge that BATWatch, if applicable, may file corporate documents listing their names for regulatory compliance purposes, including as advisors, directors or nominee shareholders where required by law. These roles shall include participation in periodic state-specific advisory meetings related to clinical oversight, quality improvement, or regulatory compliance. All such responsibilities are consistent with governance duties assigned to licensed professionals under local law. Nothing in these Terms shall restrict the provider’s legal authority over medical decision-making or oversight responsibilities where required by applicable CPOM regulations.
v. BATWatch maintains all incorporation records, nominee assignments, and regulatory filings to ensure CPOM and licensure compliance in each applicable region and will provide access to these records to authorities or payers upon lawful request.
k) Malpractice Coverage. BATWatch does not maintain centralized malpractice insurance for independent providers. All Providers participating in the BATWatch Program are required to carry their own professional liability insurance in accordance herein this Agreement. In rare cases, BATWatch may provide supplemental malpractice coverage to specific Providers, such as W-2 employees, designated clinical leaders, or Providers engaged in special roles, at its sole discretion. In such cases, the scope of that coverage will be expressly documented in writing and limited to services performed under BATWatch-approved protocols.
l) Tail Coverage Responsibility. If a Provider is covered under a BATWatch-sponsored malpractice policy (as described above), and such coverage is issued on a claims-made basis, the Provider shall be responsible for securing appropriate tail coverage upon separation from the Provider Network, unless otherwise agreed in writing. BATWatch may, at its discretion, provide or subsidize tail coverage for Providers who (i) were actively credentialed and in good standing for at least twelve (12) consecutive months, and (ii) fulfilled all documentation, reporting, and offboarding requirements. For Providers who maintain their own malpractice coverage, as is standard under this Agreement, the Provider is solely responsible for tail coverage planning and execution in accordance with their insurer’s policies.
6. Marketing, Media Rights & Brand Support. Participation in the Provider Network includes access to national media campaigns, public education initiatives, co-branding opportunities, and patient referral pathways. Our goal is to elevate both the BATWatch mission and your individual visibility as a healthcare leader committed to prevention-first brain health.
a) Media Participation and Promotional Rights. As part of your participation in the Provider Network, you grant BATWatch and its affiliated entities a perpetual, royalty-free, worldwide license to record, use, edit, publish, and distribute any interviews, video calls, onboarding sessions, podcast appearances, professional bios, and similar content involving your image, voice, name, and professional statements (excluding any patient health information) for use in educational, marketing, or promotional initiatives.
This includes, but is not limited to:
• Public-facing marketing materials
• Educational videos
• Campaign assets
• Podcasts and interviews
• Website and directory listings
• Social media features
This license remains in effect indefinitely, even if you later pause or exit the network. Content recorded during your participation may continue to be used in alignment with our mission and branding policies.
b) Personal Brand Development. We’re intentional about helping providers grow their personal brand alongside the BATWatch platform. Your participation may include:
• Featured bio videos, podcast interviews, or spotlight articles
• Support for building your own following through co-branded initiatives
• Opportunities to be positioned as a thought leader within your region or specialty
While not mandatory, participation in these initiatives is highly encouraged for providers who wish to expand their influence in the brain health space.
c) Directory Visibility & Public Listings. Your name, credentials, and affiliated practice may be listed on our official Provider Directory, which helps patients and referring clinicians locate aligned providers based on geography, availability, or service tier.
Directory inclusion is reserved for providers in good standing and may be updated or removed at BATWatch’s discretion based on protocol compliance and activity.
d) Patient Referrals. Through our outreach campaigns and platform inquiries, BATWatch may assign new patients based on:
• Your license and location
• Appointment capacity and responsiveness
• Participation in testing and telehealth workflows
• Historical collaboration and protocol adherence
There are no referral fees or charges for being listed or assigned patients.
e) Provider-Initiated Patient Referrals. You may refer Your own patients into the BATWatch Program when, in Your independent clinical judgment, such patients meet criteria for BAT Testing or are appropriate for longitudinal brain health tracking. These referrals must be clinically driven, not induced by compensation, and shall comply with all applicable Anti-Kickback Statute (AKS), Stark Law, and State self-referral laws.
You may be assigned to render telehealth services for patients You referred (“Self-Referred Patients”), provided that:
1. Services are furnished under standardized BATWatch protocols;
2. Billing is processed either under Your individual NPI (prior to credentialing) or the applicable BATWatch Group NPI (post-credentialing);
3. Compensation is based solely on services You personally render;
4. You disclose to the patient that You are participating in the BATWatch platform and may also deliver care through it.
For any Self-Referred Patient, BATWatch shall not deduct any platform fees or administrative percentages from reimbursable services You personally render. You shall retain 100% of revenue for those services, subject to applicable payer guidelines.
This exemption does not apply to services rendered by other clinicians within the BATWatch network (e.g., asynchronous test interpretation or prescription management), which may be billed separately and retained by the rendering provider or clinical entity.
BATWatch shall, when feasible, route Self-Referred Patients back to the You for eligible telehealth services. All referrals, provider assignments, and billing activity shall be logged in the BATWatch platform and remain subject to compliance review and audit.
To further support compliance, BATWatch will independently assess the eligibility of every referred patient based on standardized criteria (e.g., biological risk classification) prior to initiating testing. Referrals will only proceed to testing and care coordination when consistent with medical necessity, payer guidelines, and internal protocols.
f) Event & Campaign Collaboration. Providers may be invited to participate in:
• Local community events (e.g., health fairs, screenings, educational workshops)
• National awareness campaigns (e.g., #NoFateNovember, Brain Health Week)
• Joint content creation or co-branded panels
Participation in events is optional but recommended for providers looking to expand their visibility and deepen their network presence.
g) Branding Use & Representation. You may use approved BATWatch branding and phrasing in your materials, including:
• “Proud Member of the BATWatch Provider Network”
• “Participating Provider – BATWatch Brain Health Initiative”
All use of logos, terms, or program references must follow our trademark & terminology use policy as described in this Agreement and any subsequent policies added to these Terms.
h) Content Use Limitations and Revocation Clause. While the license granted above is perpetual and non-revocable under normal circumstances, BATWatch reserves the right to remove or discontinue the use of any provider’s content at its sole discretion, including in cases of:
• Provider license revocation or suspension
• Documented professional misconduct
• Requests related to legal name changes or rebranding
• Any actions deemed to materially conflict with the BATWatch mission or public trust
Content already distributed may remain live or archived in past materials, but no new usage will occur following such determination unless reinstated.
7. Compliance & Termination. Participation in the Provider Network is a collaborative opportunity, not an entitlement. To protect patient safety, brand integrity, and data accuracy, we maintain clear standards for compliance and continued inclusion in the Network.
a) Grounds for Suspension or Removal. We reserve the right to suspend or remove a provider at any time for any of the following reasons:
• Misuse or unauthorized use of BATWatch IP, such as trademarks, logos, or brand assets
• Failure to follow BATWatch-approved testing protocols or lab coordination processes
• Noncompliance with BATWatch treatment guidelines when acting as a referring or managing provider
• Unauthorized claims, misrepresentation of affiliation, or misleading public communications
• Violation of HIPAA, PHI protections, or any clinical, legal, or ethical obligations
• Failure to maintain timely communication with BATWatch coordination staff
• Actions that, in our sole discretion, damage public trust in BATWatch or compromise patient outcomes
b) Voluntary Withdrawal. You may withdraw from the Provider Network at any time by providing written notice. Upon termination (voluntary or otherwise), You must immediately discontinue all use of BATWatch IP, coordination tools, and any associated promotional references.
c) Post-Termination Responsibilities. Termination does not release You from the following obligations:
• Protection of any confidential or patient-related information acquired through BATWatch
• Return or deletion of any proprietary tools, documentation, or marketing materials
• Cessation of any branding, affiliation references, or listing in BATWatch directories
We reserve the right to enforce legal action if former providers continue to misuse branding, materials, or data access beyond their authorized term.
d) Confidentiality, Non-Solicitation, and Non-Circumvention. Provider agrees not to, directly or indirectly, replicate, reverse engineer, or create a substantially similar protocol, treatment model, or operational structure derived from any proprietary workflows, lab panels, or testing/treatment logic disclosed under the BATWatch Program.
Provider further agrees not to solicit or engage patients, providers, employees, or affiliated partners of BATWatch for any competing or derivative offering for a period of two (2) years following participation in the network.
e) Liquidated Damages for Breach of Confidentiality or Non-Circumvention. Provider acknowledges that a breach of the confidentiality, non-solicitation, or non-circumvention provisions may result in substantial harm to BATWatch, including reputational damage, loss of proprietary advantages, and business disruption, which may be difficult to quantify.
Therefore, in the event of such a breach, Provider agrees to pay liquidated damages in the amount of $50,000 per material breach, which the parties agree represents a fair and reasonable estimate of actual damages and not a penalty.
f) Non-Disparagement. Provider agrees not to make any false, misleading, or knowingly harmful statements, verbally, in writing, or via digital or social platforms, about BATWatch, its affiliated entities, leadership, programs, technologies, or business practices. This includes statements that could reasonably be interpreted as damaging to the reputation, goodwill, or brand equity of BATWatch.
This clause shall not restrict Provider from making statements required by law, reporting violations to regulatory agencies, or participating in legal proceedings.
In the event of a proven breach of this provision, BATWatch may pursue injunctive relief and may seek liquidated damages of $25,000 per violation, reflecting anticipated harm to brand value, public trust, and operational integrity.
8. Confidentiality & Data Sharing. Participation in the Provider Network includes access to proprietary tools, coordination protocols, and sensitive patient data. To ensure integrity, trust, and compliance, all providers must adhere to strict confidentiality and data protection standards.
a) Protected Health Information (PHI). You agree to handle all patient information in compliance with HIPAA, HITECH, and applicable state privacy laws. This includes:
• Limiting access to PHI only to authorized personnel
• Using secure systems for transmission and storage of patient data
• Cooperating fully with any required reporting, breach mitigation, or compliance reviews
Our existing Business Associate Agreement (BAA) governs the handling of PHI across the BATWatch Provider Network. Your participation is subject to that agreement, which is incorporated by reference.
b) Proprietary Tools & Processes. BATWatch may provide You with access to proprietary workflows, scoring models, patient communication templates, and test interpretation logic. These tools are for internal use only and may not be shared, replicated, or repurposed without written authorization.
• You may not reverse-engineer or adapt BATWatch risk models, testing language, or algorithms for use outside the network.
• Use of any BATWatch platform, coordination dashboard, or patient tools must follow operational guidelines.
c) Data Contributions to the BATWatch Registry. By participating, You agree to contribute de-identified or structured patient outcome data to the BATWatch Registry, our global real-world evidence initiative. This includes:
• Test results, patient progress, treatment response (when applicable)
• Anonymized safety signals or adverse event reports
• Feedback that may inform future iterations of testing and treatment guidelines
Your contributions will help advance the science and application of early cognitive health intervention, with shared benefits across the Network.
9. Term. The term of this Agreement (“Term”) will commence on the Commencement Date, will continue for a period of one (1) year thereafter (“Initial Term”), and automatically will be renewed for successive twelve (12) month periods (each a “Renewal Term”), subject to termination as provided in this Agreement.
10. Termination. a) Either party may terminate this Agreement, without cause, at its sole discretion, by notifying the non-terminating party in writing of its intention not less than ninety (90) days prior to the effective date of said termination as specified in such notice, which termination date must be the last day of a month. b) This Agreement shall terminate immediately upon the liquidation or dissolution of Your practice. c) BATWatch may terminate this Agreement immediately upon written notice to You for “Cause.” For purposes herein Cause shall mean (a) You or any Subordinate’s (i) conviction of a felony, (ii) loss of or restrictions, or limitations placed on, Your license to practice medicine in their respective state of licensure, (iii) loss of Your license(s) or certifications or registrations to dispense controlled substances, (iv) loss of Your staff membership at practice location. (v) loss of Your right to participate as a provider in the Medicare, Medicaid or any other governmental program, (vi) loss of Your right to participate in any managed care program in which You or BATWatch or any of the other Subordinates employed by, or under contract to, You or BATWatch participates, (vii) commitment of any act constituting willful misconduct, dishonesty, actionable negligence or fraud in violation of any policy governing Your conduct as may be established by BATWatch from time to time, or (viii) failure, inability or refusal to perform professional Services, or any other Service, duty or responsibility as required under this Agreement; or (b) You (i) loss of Your right to participate as a provider in the Medicare or Medicaid or any other governmental programs, (ii) revocation of Your assignment to BATWatch of Your right to bill the Medicare or Medicaid Program, or (iii) Your failure to observe or perform any of Your covenants, agreements, warranties or representations in this Agreement. “Subordinates” shall mean any individual acting under the supervision of the Provider in connection with BATWatch services, including but not limited to scribes, trainees, or unlicensed assistants, only if such delegation is permitted under applicable law and this Agreement. d) You may terminate this Agreement if BATWatch fails to cure any default by them of their representations, warranties, or agreements hereunder within twenty (20) days after written notice of such failure has been given to BATWatch by You. e) Promptly (but in any event within 10 days) after the termination or expiration of this Agreement, You will pay to BATWatch all Administrative Services Fees earned or accrued under this Agreement through the termination date, reimburse all reimbursable expenses incurred before the termination date and repay all Advances funded before the termination date; provided, however, that if BATWatch terminates this Agreement pursuant to this Section, or You terminates this Agreement in breach of this Agreement, then such payment will include the immediate payment of all Administrative Services Fees owed to BATWatch for the remainder of the Term.
11. Dispute Resolution & Arbitration. All disputes arising under or in connection with these Terms shall be governed by the BATWatch Dispute Resolution & Arbitration Policy, which is incorporated herein by reference. By participating in the Provider Network, You agree to follow the procedures outlined in that policy, including:
Attempting good-faith resolution through informal dialogue;
Submitting to binding arbitration if informal efforts fail;
Complying with the class action waiver and equitable relief clauses as described therein.

12. Amendments & Policy Updates. BATWatch and its affiliated entities reserve the right to update, modify, or revise these Terms and any referenced policies as necessary to reflect evolving best practices, legal requirements, or operational changes.
a) Notice of Changes, Rapid Evolution and Policy Changes. BATWatch operates in a fast-moving clinical and scientific environment. As a result: Our workflows, protocols, disclaimers, and terms may change at any time without prior notice. These changes reflect advancements in research, regulatory guidance, and clinical oversight. You will not receive individual email notifications of these updates.
The most current version of all legal policies and disclaimers is maintained at:
https://batlevels.com/legal. It is your responsibility to review these terms periodically. By continuing to use BATWatch tools or participate in the Provider Network, You acknowledge and agree to the current terms as published.
b) Continued Participation. Continued participation in the Provider Network after the effective date of an update constitutes acceptance of the modified terms. If You do not agree to the updated terms, You may withdraw from the network in accordance with the termination section.
c) Specific Policies & Terms. These Terms incorporate by reference the following documents, each of which may be updated independently:

13. No Third-Party Beneficiaries. This Agreement is entered into solely between You and BATWatch (and its affiliates as applicable). Nothing in these Terms shall be construed to create any rights or remedies in or for any third party, including patients, vendors, or unaffiliated providers.
14. Billing & Collection. a) Billing and Collection: BATWatch has sole discretion, after consultation with You, to establish fees, policies and procedures for billing and collecting for Services provided by You and for the technical component of the services provided. BATWatch will be solely responsible for billing and collecting, or arranging for billing and collection, from the Medicare and Medicaid programs, patients and/or their third-party payers, commercial payers, and insurers all amounts owed for those Services provided by You, pursuant to this Agreement, as well as for the technical component of the services provided. You hereby irrevocably assign to BATWatch any right You may have to bill and collect for any and all Services provided by BATWatch and You to Patients during the Term of the Agreement. You will take all actions reasonably requested by BATWatch to implement the provisions of this Section. You agree that BATWatch shall have the right to bill the Medicare and Medicaid Programs in Your name, using the Your Medicare and Medicaid provider numbers, and if appropriate, associated Federal Identification Numbers of BATWatch or subsidiaries created for specific billing requirements of Your medical specialty. In furtherance hereof, You hereby appoint BATWatch as Your agent and true and lawful attorney in fact for the following purposes: (i) to submit all claims and other documents necessary or appropriate for the timely and aggressive billing for the Services, (ii) to collect, receive payment of, receipt for, and give discharges and releases for all claims for such healthcare and ancillary services; (iii) to make demand with respect to, settle, compromise, and adjust such claims and to commence and prosecute either in its name or in the name of You, and for mutual benefit any suit, action or proceeding to collect any such claims in accordance with sound risk management practices; and (iv) to take possession of and endorse in the name of the BATWatch, or any note, check, money order, insurance payment or any other instrument received as payment for such Services.
b) Deposit of Revenue: All payments from submitted claims shall be routed to a designated deposit account (“Practice Account”), held in the name of either BATWatch or an approved designee. BATWatch shall disburse funds according to the applicable participation status and compensation model. Monthly statements will be made available. c) Reasonable Expenses & Administrative Burden: BATWatch provide substantial services including credentialing, insurance navigation, billing automation, workflow routing, AI-driven pre-auth logic, and claims follow-up. These services ensure that provider workload is minimized and compliance with payer-specific protocols is maintained. BATWatch manages all pre-authorizations, claim submission, and appeals as part of its centralized workflow. These workflows are based on protocols developed and reviewed by licensed medical directors and may evolve to incorporate best practices or regulatory updates. BATWatch may implement such changes without prior notice, and You agree to adhere to current platform protocols.
d) Administrative Services Fee: i. Pre-Credentialing Phase (Billing Under Provider NPI): During this phase, all claims are submitted under Your NPI. You receive 100% of collected revenue. Provider Network assumes no liability for reimbursement delays or denials during this period but will manage billing operations, denials, and appeals on Your behalf. No fee is deducted from paid claims. In cases of prolonged payer credentialing delays (exceeding 120 days), BATWatch may elect to continue billing under the Provider’s NPI with consent, or suspend services until credentialing is complete.
ii. Post-Credentialing Phase (Billing Under BATWatch NPI): Upon credentialing completion, BATWatch will transition billing to its respective group NPI. You shall then receive compensation based on either:
– a percentage of gross collections (up to 70%), or
– A fixed rate schedule approved either at onboarding or through a subsequent compensation agreement.
The standard Administrative Services Fee shall be up to thirty percent (30%) of gross collected revenue, reflecting fair market value for services and infrastructure. This percentage may be reviewed annually based on service volume and cost alignment.
BATWatch reserves the right to review and adjust compensation models annually based on market conditions, service complexity, administrative burden, or payer requirements.
The selected compensation model may be revised at the sole discretion of BATWatch, provided that:
• Any adjustments reflect fair market value (FMV) standards,
• Revisions are communicated via updated posted terms or executed addenda, and
• Continued participation following notice of change shall constitute acceptance of the revised compensation model.
Payments to Providers shall occur no later than the 15th of the month following the close of the prior billing month. You waive any direct claim to reimbursement for services rendered under this Agreement outside the designated BATWatch workflows, unless separately agreed in writing. All compensation shall be issued only through the BATWatch billing system.
iii. Platform-Supported Services: In certain cases, BATWatch may deliver reimbursable services under CMS or commercial payer codes related to Remote Physiologic Monitoring (RPM), Behavioral Health Integration (BHI), and other asynchronous or platform-based care models that do not require direct clinical interaction. When such services are rendered and billed under the BATWatch respective group NPI, compensation to participating providers shall be based on FMV for their involvement, which may include passive support (e.g., NPI attribution or panel access) or active engagement (e.g., oversight, communication, or coordination). These FMV-based payments may be issued as fixed fees per service or as a percentage share of collected revenue, at BATWatch’s discretion and consistent with legal requirements. BATWatch may allocate the majority share of such revenue to cover the infrastructure, coordination, data review, staff oversight, and platform tools necessary to operate these services compliantly and at scale. All such arrangements will be clearly disclosed via these Terms or updated through a written addendum.
iv. Expense Recovery and Market Cost Allocation: BATWatch may, at its sole discretion, advance funds or incur costs on behalf of Providers to facilitate onboarding, billing, and operational integration. These may include, but are not limited to: Licensing or registration fees; Credentialing-related expenses; Background checks or verification services; Technology setup, enrollment, or training costs. If such expenses are incurred prior to the Provider generating revenue or receiving compensation, BATWatch shall have the right to recover these amounts from future compensation payments owed to the Provider, once active billing under the BATWatch NPI begins. These amounts may be recovered through reasonable, periodic withholdings until the balance is satisfied. Additionally, BATWatch reserves the right to amortize market-opening costs, including entity formation, marketing, compliance filings, and administrative overhead, across all participating Providers operating within that geographic market. These shared infrastructure costs shall be equitably distributed to minimize undue burden on any individual Provider and shall be disclosed upon request. Where applicable, these allocations may reduce the portion of fees deducted from individual Provider revenue under the Administrative Services Fee.
e) Compliance with Anti-Kickback Statutes. Non-Kickback; Arm’s Length Referral: The payment of the Fee to BATWatch is not intended to be and shall not be interpreted or applied as permitting BATWatch to share in Your fees for medical services. The Fee is acknowledged and agreed by the parties as being fair, equitable and reasonable in all respects and constituting fair market value for the substantial commitment of resources made by BATWatch under or in connection with this Agreement. The parties acknowledge and agree that the Fee set forth in this Agreement has been arrived at through arm’s length negotiations and is intended to compensate BATWatch in a manner that is commercially reasonable, consistent with fair market value. BATWatch shall neither have nor exercise any control or direction over the number, type or recipient of patient referrals made by You and nothing in this Agreement shall be construed as directing or influencing such referrals. None of BATWatch’s activities contemplated under this Agreement, or otherwise, shall constitute obligations of BATWatch to generate patient flow or business to You. No benefits to You or BATWatch under this Agreement require or are in any way contingent upon the admission, recommendation, referral, or any other arrangement for the provision of any item or service offered by BATWatch, or You or any of Your respective affiliates. The Administrative Services Fee does not include any discount, rebate, kickback, or other reduction in charge. The Administrative Services Fee shall be reviewed on an annual basis by BATWatch’s Board of Directors to ensure that it remains consistent with the fair market value for the services rendered to You by BATWatch.
f) Withholding & Reserves: BATWatch may withhold a reasonable portion of collected revenue to cover administrative fees, patient refunds, or operating reserves. Any remaining balance shall be disbursed to You pursuant to the agreed payment cycle.
g) Provider Cooperation: You agree to cooperate fully with credentialing, claims submission, and revenue cycle operations. This includes responding to audits, furnishing requested documentation, and adhering to BATWatch’s communication protocols.
h) Exclusive Compensation: You agree not to bill patients or third-party payers directly for any services provided through the BATWatch Program, unless otherwise authorized in writing. Any payments received outside of BATWatch’s workflows must be immediately transferred to BATWatch.
i) Independent Judgment: Nothing in this Agreement will be construed or applied in any manner so as to relieve Provider of or interfere with or impede Provider’s legal and ethical obligations to exercise his independent medical judgment, serve as an advocate for each Patient, and take such actions as are in the best interests of each Patient.
15. Books & Records. a) Medical Records. Upon the termination of the Agreement, with or without cause, You will be entitled to a copy of the medical records, case histories and charts of each Patient treated by You pursuant to this Agreement but only upon receipt of an authorization signed by the patient to whom such records and charts relate. You will at all times during and after the termination of this Agreement be provided access to such medical records, charts, histories and any other pertinent information pertaining to any Patient as is necessary for You to respond to (i) any complaint, law suit, or allegation concerning his alleged malpractice, over-utilization, or misappropriate utilization of Services rendered to any Patient, or, (ii) any inquiry, investigation or allegation of any governmental agency, insurers, managed care organization or other third party payer.
16. Compliance. a) Compliance with Laws. In the performance of Your responsibilities under this Agreement, and in general in the performance of Services, You shall comply with the requirements of all applicable federal, state and local laws, rules and regulations, including without limitation those respecting the licensure and regulation of providers, and those prohibiting discrimination against Patients, and shall comply with the requirements of the Medicare and Medicaid programs, and the applicable requirements and standards of those managed care organizations with which You, BATWatch have a managed care agreement.
b) Changes in Law.
i. Legal Event; Consequences. Notwithstanding any other provision of this Agreement, if any federal, state or local governmental or nongovernmental agency, or any court or administrative tribunal passes, issues or promulgates any law, rule, regulation, standard, interpretation, order, decision or judgment (collectively or individually, “Legal Event”) which, in the good faith judgment of either party (the Noticing Party”), renders this Agreement illegal or subjects the Noticing Party to a risk of prosecution or monetary penalty, or which, in good faith judgment of the Noticing Party, indicates a rule or regulation with which the Noticing Party desires further compliance, then the Noticing Party may give the other party notice of intent to amend or terminate this Agreement in accordance with the next subparagraph.
ii. Notice of Requirements. The Noticing Party shall give notice to the other party together with an opinion of counsel setting forth the following information:
• The Legal Event(s) giving rise to the notice;
• The consequences of the Legal Event(s) as to the Noticing Party;
• The Noticing Party’s intention to either:
– terminate this Agreement due to unacceptable risk of prosecution or monetary penalty; or
– amend this Agreement, together with a statement that the purpose thereof is one or more of the following:
– to further comply with any statutory provisions or rules or regulations created or affected by the Legal Event(s); and/or
– to satisfy any licensure or certification requirements created or affected by the Legal Event(s); and/or
– to eliminate or minimize the risk of prosecution or monetary penalty;
17. Indemnification. a) The Provider Obligation to Indemnify. You hereby agree to indemnify and hold harmless BATWatch, and its successors and assigns, and the directors, officers, agents and employees of any of the foregoing (collectively, the “BATWatch Indemnified Parties”), from and against any all proceedings, judgments, obligations, losses, damages, deficiencies, settlements, assessments, charges, costs, and expenses, (including, without limitation, reasonable attorneys’ fees, paralegals’ fees, investigation expenses, court costs, interest, and penalties) arising out of or in connection with, or caused by, directly or indirectly, any or all of the following (“Indemnified Matter”) whether suit is instituted or not and, if instituted, at any trial or appellate level, and whether raised by the parties to this Agreement or any third party:
i. Any misrepresentation, breach or failure of any warranty or representation made by or on behalf of You in this Agreement or pursuant hereto.
ii. Any failure or refusal by You to satisfy or perform any term, agreement, covenant, or condition of this Agreement required to be satisfied or performed by You.
iii. Any acts of medical malpractice committed by You or any of its Subordinates.
iv. Any inaccurate information furnished to BATWatch as contemplated by this Agreement.
b) BATWatch’s Obligation to Indemnify. BATWatch hereby agrees to indemnify and hold harmless You, Your Subordinates, successors and assigns and the directors, officers, agents and employees of You (collectively, the “Provider Indemnified Parties”) from and against any and all proceedings, judgments, obligations, losses, damages, deficiencies, settlements, assessments, charges, costs and expenses (including without limitation, reasonable attorneys’ fees, paralegals’ fees, investigation expenses, court costs, interest and penalties) arising out of, or in connection with, or caused by, directly or indirectly, any or all of the following matters (“Indemnified Matter”) whether suit is instituted or not and, if instituted, at any trial or appellate level, and whether raised by the parties to this Agreement or any third party:
i. Any misrepresentation, breach or failure of any warranty or representation made by or on behalf of BATWatch in this Agreement or pursuant hereto; or
ii. Any failure or refusal by BATWatch to satisfy or perform any term, agreement, covenant, or condition of this Agreement required to be satisfied or performed by BATWatch.
c) Defense of Actions. Each party (“indemnifying party”) shall be solely responsible, at their expense, for litigating, defending or otherwise attempting to resolve any Proceeding against which any other party is indemnified under this Agreement (“indemnified party”), except that: (i) the indemnified party shall have the right to participate in the defense of any such proceeding at its expense and through counsel of its choice; (ii) indemnified party may at its option, defend or otherwise attempt to resolve, any Proceeding against which any indemnified party is indemnified under this Agreement if the indemnifying party does not promptly and diligently defend or otherwise attempt to resolve any such proceeding or if such indemnified party, in good faith, believes that the defense or resolution of such proceeding might adversely affect its relations with a patient, customer or supplier, in which event indemnifying party shall continue to be obligated to indemnify the indemnified party hereunder in connection with such Proceedings; and (iii) the indemnifying party shall not agree to any settlement without the indemnified party’s express prior written consent; provided that if indemnified party rejects a monetary settlement proposed in writing by indemnifying party, indemnifying party may elect to pay such amount to the indemnified party and, upon doing so, shall be relieved of all further obligations to defend and indemnify indemnified party with respect to that matter. Notwithstanding this Section, in all cases involving professional liability, the parties acknowledge and agree that such defense and indemnification shall be satisfied in the first instance by the indemnifying party’s malpractice insurance carrier, to the extent coverage is available.
d) Professional Liability Insurance: i. Insurance Requirements. Providers agrees to maintain, at their sole expense, professional liability insurance (malpractice coverage) with amounts as may be required by applicable state or provincial law. The policy must: Cover telehealth, remote diagnostic services, and any other services rendered under this Agreement; and be valid in every jurisdiction where the Providers provide services through BATWatch. Upon written request, Providers shall provide a Certificate of Insurance (“COI”) and any related endorsements confirming compliance with these obligations. If COI is requested, Providers shall name the following as additional insureds under their malpractice policy: “BATWatch Medical Group, LLC, including all current and future affiliated BATWatch-branded professional corporations, subsidiaries, and managed care entities.” Providers shall provide a COI reflecting this language: Upon execution of this Agreement; Upon each renewal of their insurance policy; Upon material change to their insurance provider or limits; BATWatch reserves the right to request a copy of the insurance policy declaration page or endorsement rider confirming the additional insured status at any time. ii. Notice of Change or Lapse. Providers shall notify BATWatch in writing within five (5) business days of any: Lapse in coverage; Cancellation or non-renewal of the policy; Material change in coverage limits or carrier rating. iii. Primary Defense Obligation. In the event of any actual or alleged malpractice, error, or omission arising from services rendered under this Agreement, the Providers’ malpractice insurer shall be the first line of defense and coverage. All BATWatch-affiliated entities listed as additional insureds shall be defended under the policy to the same extent as the Providers. iv. Breach and Enforcement. Failure to maintain the required insurance coverage, provide timely documentation, or name BATWatch and its affiliated entities as additional insureds shall constitute a material breach of this Agreement and may result in immediate suspension or termination of the Providers’ participation in the BATWatch Provider Network.
e) Defense Support and Provider Reassurance. In the event that Providers is named as a defendant in any legal or regulatory action arising from services rendered under the BATWatch program, the following terms shall apply: i. Coordinated Response. BATWatch shall support the Providers in coordinating a timely and organized response to any legal inquiry, malpractice claim, or board complaint, including: Prompt notification of applicable insurers (if known to BATWatch); Internal documentation retrieval (e.g., test orders, communications, provider notes); Access to compliance documentation and clinical protocols used at the time of service. ii. No Abandonment Policy. Providers shall not be left without administrative support in the event of an active claim. While BATWatch does not provide legal defense for individual providers, it will ensure that: Providers has access to relevant documentation needed for their defense; The applicable BATWatch PC entity will cooperate fully with the Providers’ insurer and legal counsel; BATWatch and support staff will not obstruct or delay any communications reasonably needed for resolution. iii. Provider-Owned Defense Rights. All malpractice defense shall be led by the Providers’ own malpractice carrier. However, BATWatch-affiliated entities agree to: Accept tender of defense as an additional insured (where applicable); Avoid taking any independent legal position contrary to the interests of the Providers unless required by law; Notify the Providers promptly if any legal communications or subpoenas are received related to their care. iv. Respect for Due Process. The initiation of a malpractice claim, or board complaint shall not automatically result in termination of this Agreement. BATWatch will evaluate the matter in good faith and only take adverse action if: Required by law, a regulatory body, or payer network; The claim results in a verified clinical quality or safety issue that jeopardizes patient care; The Providers’ license, DEA number, or malpractice coverage becomes restricted or invalidated. v. Affirmation of Partnership. BATWatch values the professional integrity and expertise of its clinicians and is committed to providing structural and administrative support during any unforeseen legal proceedings. Providers are not alone in the process.
f) Program Structure Designed to Minimize Provider Risk: BATWatch has been intentionally structured to reduce clinical liability exposure for its providers through narrow clinical scope, standardized workflows, and segmented decision points. Key design features include:
i. Protocolized, Stepwise Testing: All patient testing follows structured biomarker-based workflows. Providers are not asked to make open-ended diagnostic decisions or engage in speculative treatment plans.
ii. Biomarker-Driven Review Only: Clinical decisions are based solely on objective, lab-verified markers, such as Beta-Amyloid, Tau, ApoE, and functional panels. Providers are not expected to perform general primary care assessments, medication management for unrelated conditions, or subjective evaluations beyond these clinical boundaries.
iii. Scripted, Pre-Authorized Lab Reflex Chains: All follow-up testing is determined in advance by BATWatch protocols and reviewed by the clinical team. Providers approve testing steps with clear thresholds and are not independently liable for testing logic design.
iv. Telehealth-Only Model with Pre-Built Messaging: All telehealth interactions occur within a clearly defined context. Provider-facing workflows and patient communication templates are standardized, reducing variability in decision-making and language risk.
v. Optional Treatment Phase with Low Risk Profile: All treatment options are optional and only offered after confirmatory biomarker evidence is present. Protocols are built using FDA-approved medications with known safety profiles, commonly used in primary care, psychiatry, or metabolic health, including off-label use where appropriate and fully disclosed. Side effects are minimal, well-characterized, and easily monitored or reversed: No controlled substances are prescribed. Medications are titrated conservatively and reviewed at each checkpoint. If needed, treatment can be paused, adjusted, or discontinued without withdrawal or destabilization risk.
vi. Centralized Monitoring and Provider Support: The BATWatch clinical team monitors treatment outcomes across all patients using a central command center model that flags: Missed labs; Non-responsiveness; Side effect reporting. Providers are never operating in isolation; they are supported by: Standardized follow-up workflows; Pre-scripted messaging; Central escalation pathways; Clinical documentation templates to reduce ambiguity.
vii. No Pressure to Prescribe or Diagnose: Providers may defer treatment, refer to other clinicians, or opt out of the treatment phase entirely. Risk detection and risk management are structurally decoupled, ensuring autonomy and legal clarity at every phase.
viii. A Low-Risk, High-Support Clinical Environment: This model minimizes exposure compared to: General telehealth platforms (which require broad assessments), Primary care (with its polypharmacy and open-ended decision-making), and Psychiatry (with high-risk medication classes).
BATWatch providers operate within defined clinical windows, with clear data, known endpoints, and a support team behind them.
g) Emergency Referrals. Providers are not responsible for rendering emergency services through BATWatch. In any case where a provider reasonably believes that a patient may be experiencing an acute or emergent condition, Providers are expected to refer the patient to emergency care. BATWatch assumes no liability for provider-referred escalations or for patient outcomes beyond the scope of defined protocols.
h) Technology-Assisted Workflow Disclosure. All clinical reviews, interpretations, and decisions rendered under the BATWatch Program are performed by licensed providers. No diagnostic or therapeutic decisions are made through automated systems, symptom checkers, or AI models. BATWatch supports Providers with workflow tools but does not interfere with clinical judgment.
i) Jurisdictional Compliance. Providers are responsible for ensuring that their licensure and conduct comply with the healthcare regulations of the jurisdiction in which the patient is located at the time of care. BATWatch does not warrant licensure coverage or payer compliance in jurisdictions where the provider is not appropriately credentialed.
18. Coordination with Corporate Agreements. If You are also designated as one of the Nominee Clinicians for incorporation, licensing, or credentialing purposes within state-based PCs, You may be subject to additional corporate agreements (such as a Shareholder or Nominee Clinician Agreement).
These corporate documents are limited in scope to regulatory filings, CPOM compliance, and entity-level governance, and do not alter Your obligations or rights under these Terms.
In the event of overlap or ambiguity, both agreements shall be interpreted as complementary, with these Terms governing clinical participation and provider obligations, and the state-based PC Agreements governing corporate structure and regulatory filings.
By enrolling in the Provider Network, You acknowledge and authorize BATWatch to:
Submit filings or registrations with government, payer, or credentialing bodies that list You as one of the licensed Nominee Clinicians for one or more state-based PCs, solely to fulfill local licensure, ownership, or clinical governance requirements;
Act on Your behalf for the limited purpose of executing incorporation documents, renewal forms, and credentialing applications required to maintain state-based PC compliance;
Rotate or update Your designation as needed, without altering Your legal rights, scope of practice, or clinical authority;
Maintain internal records reflecting such assignments, including timestamped enrollment documentation, for compliance and audit purposes.
This designation shall not convey ownership, liability, or control unless explicitly granted in writing, and shall remain active only during Your participation in the Provider Network.
19. Special Medicare Rules. Since the value or cost of services provided under this Agreement may be Ten Thousand Dollars ($10,000) or more within a twelve (12) month period, You agrees to comply with the Access to Books, Documents and Records of Subcontractors provision of Section 952 of the Omnibus Budget Reconciliation Act of 1980 (PL96-499) and 42 C.F.R. Part 420, Subpart D, Section 420.300, et. seq. In accordance with these provisions, You shall, upon proper written notice, allow the Comptroller General of the United States, the Secretary of Health and Human Services, and their duly authorized representatives access to this Agreement and to Your books, documents, and records necessary to certify the nature and extent of costs of Medicare reimbursable services provided under this agreement. Such access shall be allowed, upon request, until the expiration of four (4) years after the Medicare reimbursable services are furnished pursuant to this Agreement. If You carry out any of the duties of this agreement through a subcontract with a related party with a value or cost of Ten Thousand Dollars ($10,000) or more over a twelve (12) month period, said subcontract shall contain a clause which requires a subcontractor to comply with the above statutes and regulations.
20. Governing Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
To the fullest extent permitted by law, the parties agree that any legal action, claim, or dispute arising out of or relating to this Agreement shall be subject to the dispute resolution and arbitration procedures outlined in the BATWatch Dispute Resolution and Arbitration Policy, which is incorporated herein by reference.
If any claim is brought in court despite the arbitration requirement (e.g., for equitable relief), the parties agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Sheridan, WY, unless otherwise required by applicable law or agreed to in writing.
Each party waives any objection based on forum non conveniens or improper venue and agrees not to contest venue in the selected jurisdiction.
Notwithstanding the foregoing, BATWatch may elect to bring enforcement actions or seek injunctive relief in the state where You are licensed or where services were rendered, at Your sole discretion, when such venue better protects patient safety, regulatory compliance, or data privacy obligations.
21. Assignment. You may not assign, delegate, or transfer your rights or obligations under this Agreement, whether by operation of law or otherwise, without the prior written consent of BATWatch. Any unauthorized assignment shall be null and void. BATWatch may assign or delegate its rights and responsibilities to affiliated entities as necessary to maintain operations, compliance, or scalability.
22. Entire Agreement. These Terms, together with the incorporated documents referenced herein, represent the entire understanding between You and BATWatch regarding participation in the Provider Network. They supersede all prior communications, representations, or agreements, whether written or oral, related to the subject matter of this Agreement.
23. Severability. If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, the remainder shall remain in full force and effect. Any invalid provision shall be modified or replaced to best reflect the original intent in a manner that complies with applicable law.
24. Survival. Sections relating to intellectual property rights, confidentiality, data use, compliance, dispute resolution, and any other provisions that by their nature should survive termination shall remain in effect even after the termination of your participation in the Provider Network.
25. Notices. All official communications related to this Agreement must be sent in writing to the appropriate party. Notices may be delivered by email or secure electronic platform. Notices will be deemed effective upon delivery confirmation.

26. Acceptance of Terms. By enrolling in the Provider Network and clicking “I Agree,” “Enroll,” or any similar acceptance button, or by signing digitally via our secure platform, You acknowledge and agree that:
• Legally Binding Agreement: This electronic acceptance constitutes a legally binding agreement under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Uniform Electronic Transactions Act (UETA), and applicable state laws.
• Consent to Electronic Delivery: You consent to receive and execute all agreements, notices, disclosures, and other communications electronically, and waive any requirement for physical documents or wet signatures unless expressly required by law.
• Clickwrap & Audit Trail: Your acceptance via clickwrap or digital signature is logged, timestamped, and retained as part of our permanent records. This audit trail, including IP address, device data, and user ID, will serve as admissible proof of agreement and compliance in any legal or regulatory setting.
• Ongoing Consent & Enforcement: Your continued participation in the Provider Network constitutes continued agreement with these Terms and any updates issued in accordance with the “Amendments & Policy Updates” section.
• Retention & Access: A copy of the executed Agreement will be made available to You upon completion of enrollment. You may request a copy at any time by contacting us.
